Terms of Service

1. Agreement

These Terms govern your use of Zita worldwide, including the Zita website, iOS app, macOS app, phone-number entry flow, phone verification, local reminder features, SMS reminder features, App Intents and shortcuts, reminder history, billing flows, customer care, and related services.

Zita is operated by Mela Roo, Inc., a Louisiana C corporation, 201 Rue Beauregard, Ste 202, Lafayette, Louisiana 70508, USA. In these Terms, "Zita," "we," "us," and "our" refer to Mela Roo, Inc. and the Zita service.

By downloading an app, using the website, entering a phone number, requesting a setup text, confirming a phone number, texting Zita, creating a reminder, using an app shortcut, starting a trial, buying a subscription, or continuing to use Zita, you agree to these Terms and the Zita Privacy Policy. If you do not agree, do not use Zita.

2. Services And Platforms

Zita is a personal reminder service. Depending on the product surface and plan you use, Zita may let you create local device reminders, schedule SMS reminders from an app or API, text reminder requests to an assigned Zita number, receive reminder texts, view reminder history, cancel or delete reminders, restore purchases, and manage account or billing state.

The iOS app can schedule local iPhone reminders, create app-originated SMS reminders when eligible, show local and SMS reminder history, sync supported local reminder history through the user's private Apple CloudKit account when available, expose app shortcuts or App Intents for quick-add reminders, verify a phone number, restore App Store purchases, and show or copy the SMS number assigned to eligible accounts.

The macOS app can schedule local Mac reminders for free and, for eligible phone-verified accounts or active SMS plans, create SMS reminders through the Zita backend. The web and SMS-only flow can verify a phone number and support active-week SMS reminder use where offered.

You are responsible for the reminder text you send, the schedule you request, the phone number you use, device notification settings, network availability, and checking that any reminder was created correctly. Zita is not a calendar system, emergency system, medical monitoring system, legal-deadline system, financial-deadline system, child-safety system, elder-care monitoring system, or guaranteed delivery service.

3. Eligibility, Countries, And Phone Control

You must be legally able to enter into these Terms and old enough to consent to receive text messages in your jurisdiction. Zita is not intended for children under 13.

You may only use Zita with phone numbers you own or control. Do not enter, verify, or use another person's phone number unless that person has clearly authorized you to do so and has agreed to receive Zita texts.

If you lose access to a verified number, transfer it, cancel it, or stop controlling it, stop using Zita from that number and contact customer care if account help is needed.

Zita may not be available in all countries, regions, languages, carriers, phone number types, or app stores. SMS features may be limited to United States mobile numbers unless Zita expressly offers support for another country or region. You are responsible for complying with local laws where you access or use Zita.

4. Local Reminders

Local reminders are reminders scheduled on your iPhone or Mac. Local reminders may use device notifications, local app storage, and, where available and enabled, private Apple CloudKit sync for local reminder history. Local Mac reminders are free. The iOS app may provide free local reminders on the device.

Local reminder delivery depends on the device, operating system, notification permissions, Focus or Do Not Disturb settings, battery state, time settings, app state, storage, and other factors outside Zita's control. If a device is asleep, offline, powered off, deleted, restored, out of storage, or configured not to show notifications, local reminders may be delayed, missed, duplicated, hidden, or unavailable.

5. SMS Program

The SMS program name is Zita reminder texts. By entering your phone number, checking the required SMS or billing disclosure, requesting a setup text, completing phone confirmation, texting Zita, or creating SMS reminders from an app, you agree to receive Zita verification texts, intro texts, reminder texts, account notices, billing notices, support texts, and related operational texts at that phone number.

  • Message frequency varies based on the reminders you create and the account or support activity you request.
  • Msg&data rates may apply.
  • Reply STOP to opt out and stop reminder texts for that phone number. For SMS-only active-week billing, STOP also stops active-week billing where applicable.
  • Reply HELP for help instructions or contact support@zitatext.com.
  • Reply START to resume if the number is eligible and the service supports resubscription.
  • Standard single-word carrier opt-out commands are also honored.
  • Consent to receive Zita texts is not a condition of purchase.

Carriers, SMS providers, app stores, operating systems, and messaging intermediaries are not liable for delayed, blocked, filtered, duplicated, or undelivered messages. Zita may be unable to deliver messages to some carriers, phone numbers, regions, devices, operating systems, app versions, or account types.

6. SMS Plans, Trials, And Billing

Zita may offer free starts, free app-created SMS reminders, trials, active-week billing, weekly subscriptions, monthly subscriptions, legacy subscription plans, or other paid plans. The price, renewal period, included features, trial period, and billing provider shown in the app, website, checkout page, App Store sheet, receipt, or account screen control over any older marketing copy.

In the iOS app, eligible devices or accounts may receive a limited number of free app-created SMS reminders, such as three free SMS reminders, before a paid weekly or monthly SMS plan is required. Free SMS grants are promotional, may be limited per device, account, phone number, Apple account, or other abuse-prevention signal, and may be changed, withheld, or ended where permitted by law.

App Store SMS plans are processed by Apple through StoreKit and may include weekly or monthly auto-renewable subscriptions with a free trial where shown. App Store subscriptions automatically renew until canceled in your Apple account subscription settings. If you do not want an App Store trial to convert to a paid subscription, cancel at least 24 hours before the trial ends. Apple handles App Store payment methods, taxes, receipts, refunds, purchase sharing eligibility, and cancellation mechanics under the Apple Media Services Terms and your App Store account settings.

Web, SMS-only, or legacy billing may be processed by Stripe or another payment processor. For eligible phone-entry active-week users, the first active week is free and does not require a payment card. After that, phone-entry SMS reminder use may cost $3.99 per active week only when you use it, unless a different price is shown to you at checkout or in the service. Idle weeks do not charge. You authorize Zita and its payment processor to save the payment method you provide at checkout and charge it for amounts shown at checkout and for later active-week charges you approve by replying YES, completing Checkout, or sending a new reminder after your free week or paid active week has ended when a saved payment method is available.

Prices may change prospectively with notice. Taxes, carrier fees, App Store fees, payment processor fees, and other required charges may apply. Except where required by law or by the applicable app store or payment processor policy, charges are non-refundable once an active week, subscription period, trial conversion, or paid service period has started.

Texting STOP stops reminder texts for the phone number and stops SMS-only active-week billing where applicable, but STOP does not cancel App Store subscriptions. App Store subscriptions must be managed in Apple subscription settings. Stripe subscriptions should be managed through the account or billing portal where available. Refund, account deletion, and subscription questions may be sent to support@zitatext.com.

7. App Store Apps And License

If you download Zita from the Apple App Store or Mac App Store, the app is licensed, not sold. Subject to these Terms, Mela Roo, Inc. grants you a limited, personal, non-transferable, revocable license to use the app on Apple-branded devices you own or control, as permitted by Apple's usage rules and the Apple Media Services Terms.

You may not rent, lease, lend, sell, transfer, redistribute, sublicense, copy, modify, reverse engineer, decompile, disassemble, attempt to derive source code from, tamper with, or create derivative works from the app or service, except where applicable law gives you a non-waivable right to do so.

Zita, not Apple, is responsible for the Zita app, Zita services, support for Zita, and claims relating to Zita, except to the extent Apple is responsible under its own terms or applicable law. Apple has no obligation to furnish maintenance or support services for Zita. Apple and Apple's subsidiaries are third-party beneficiaries of this App Store section and may enforce it against you.

App Store transactions may need to be verified with Apple and synced to the Zita backend before SMS access or an assigned SMS number becomes available. If a transaction is pending, unverified, expired, refunded, revoked, canceled, or not synced, paid SMS features may be unavailable until the issue is resolved.

8. Referral Credits

If Zita offers a referral promotion, the inviter receives one free month only after the referred friend completes the free start or promotional referral period and remains a paying customer after that period. For active-week billing, a free month may be issued as four active-week credits.

Referral credits have no cash value, are not transferable, and may be withheld, denied, or reversed for refunds, chargebacks, disputes, self-referrals, duplicate accounts, recycled or fake phone numbers, suspicious payment activity, abuse, or attempts to evade these Terms.

If the referred friend requests a refund after the trial, disputes a charge, or otherwise reverses the paid transaction that qualified the referral, Zita may disqualify the referral, revoke the credit, and stop honoring referrals tied to those accounts or phone numbers.

9. Acceptable Use

Use Zita only for lawful personal reminders and authorized reminder workflows. Do not use Zita for spam, unsolicited marketing, bulk messaging, harassment, threats, fraud, impersonation, abusive content, illegal activity, unauthorized messaging, scraping, automated abuse, account sharing abuse, or messages to people who have not consented.

Do not use Zita for emergency dispatch, crisis response, medical monitoring, medication safety, legal deadlines, financial deadlines, security alarms, child safety, elder care, hazardous work, or any situation where a missed, delayed, blocked, incorrect, or duplicated reminder could cause harm.

Do not submit content that is unlawful, exploitative, hateful, sexually explicit, abusive, invasive of privacy, or carrier-prohibited. Do not attempt to bypass rate limits, abuse free-start or billing systems, reverse engineer the service, interfere with service operations, or access accounts, systems, or data without permission.

10. Reminder Content

You keep ownership of reminder content you submit. You grant Zita the limited right to receive, store, process, parse, transmit, display, and delete that content as needed to provide, secure, support, troubleshoot, bill for, and comply with the service.

Zita may parse reminder content using software, platform services, or service providers. A parsed reminder may be wrong. You are responsible for reviewing the interpreted reminder, reminder time, recurrence, channel, and recipient before relying on it.

Zita may reject, block, delay, shorten, reformat, remove, archive, de-identify, or refuse to send reminder content when needed for carrier compliance, app store compliance, safety, security, abuse prevention, legal compliance, deliverability, billing integrity, or service reliability.

11. Privacy And Data

The Zita Privacy Policy explains what we collect, how we use it, how deletion requests work, how we handle SMS opt-in consent, and how we use encryption and other safeguards.

Zita does not sell reminder content or use reminder content to build advertising profiles. We use reminder content only as needed to provide, secure, support, troubleshoot, bill for, and comply with the service, and we delete or de-identify reminder content when it no longer has a service, legal, billing, security, carrier-compliance, app-store-compliance, dispute-handling, or support purpose.

Zita does not sell or share SMS opt-in consent with third parties for their marketing. We may share information with service providers only as needed to operate Zita, including sending SMS, processing payments, hosting the service, preventing abuse, complying with carrier and legal requirements, and providing customer care.

App features may use Apple services, such as StoreKit for purchases and CloudKit for private sync, subject to Apple terms and your Apple account settings. Zita does not control Apple account, iCloud, App Store, device, carrier, or operating-system settings.

12. Third-Party Services

Zita may rely on third-party providers for SMS delivery, phone-number provisioning, parsing support, payment processing, App Store payments, CloudKit sync, hosting, security, logging, analytics, customer care, email, and other operations. These providers may have their own terms, policies, outages, filters, fees, review processes, and limits.

Payment card details are handled by Apple, Stripe, or the applicable payment processor and are not stored directly by Zita.

13. Service Changes And Suspension

We may modify, limit, suspend, or discontinue all or part of Zita at any time, including plans, pricing, free starts, free SMS grants, trials, app features, SMS numbers, parsing behavior, shortcut support, local sync, and reminder history features. We may block accounts, devices, phone numbers, reminders, payments, subscriptions, or messages if we believe there is abuse, fraud, carrier risk, app-store risk, security risk, legal risk, billing failure, technical risk, or a violation of these Terms.

14. Intellectual Property

Zita, the website, software, brand, designs, logos, text, workflows, and service technology are owned by Mela Roo, Inc. or its licensors. These Terms do not give you ownership of Zita intellectual property.

You may not copy, resell, sublicense, scrape, reverse engineer, or use Zita to build a competing service except where applicable law gives you a non-waivable right to do so.

15. Disclaimers

Zita is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Zita disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.

Zita does not guarantee that any reminder will be created, parsed correctly, scheduled correctly, synced, displayed, delivered on time, delivered once, delivered at all, seen by you, or preserved in history.

Some jurisdictions do not allow certain warranty exclusions or limitations on statutory consumer rights, so parts of this section may not apply to you.

16. Limitation Of Liability

To the fullest extent permitted by law, Zita will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for missed reminders, delayed messages, blocked messages, incorrect parsing, duplicate reminders, billing interruptions, provider failures, App Store failures, device failures, operating-system limits, CloudKit failures, carrier filtering, or loss of data.

To the fullest extent permitted by law, Zita's total liability for all claims relating to the service will not exceed the greater of the amount you paid Zita for the service in the three months before the event giving rise to the claim or $50.

Some jurisdictions do not allow certain liability limitations, so parts of this section may not apply to you.

17. Indemnity

Where permitted by law, you agree to defend, indemnify, and hold harmless Mela Roo, Inc. and its owners, operators, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from your use of Zita, your reminder content, your violation of these Terms, your violation of law, or your use of a phone number without proper authorization or consent.

18. Disputes And Governing Law

Before filing a claim, you agree to contact legal@zitatext.com and give Zita a reasonable opportunity to resolve the issue informally.

To the fullest extent permitted by law, these Terms and claims relating to Zita are governed by the laws of Louisiana, USA, without regard to conflict-of-law rules. Courts located in Louisiana will have jurisdiction where permitted by law. If mandatory consumer laws in your country, state, province, or region require a different governing law, venue, warranty, refund, cancellation, or dispute process, those mandatory rights are not limited by these Terms.

To the fullest extent permitted by law, claims must be brought only on an individual basis and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative action.

19. Export And Sanctions

You may not use, export, re-export, download, or access Zita in violation of United States export control and sanctions laws or the laws of the jurisdiction where you use Zita. You represent that you are not located in a country or region subject to applicable embargoes or sanctions that prohibit your use of Zita and that you are not on a restricted party list that prohibits your use of Zita.

20. Changes

We may update these Terms as the service, apps, pricing, carriers, app stores, law, providers, or business needs change. The updated date above shows the latest version. Continued use after an update means you accept the updated Terms, except where additional notice or consent is required by law or by an app store.
